Xapads Media Pte. Ltd. · UEN 201729601K · thehelix.media · Last updated: July 2026

1. Acceptance of these Terms

Helix is a supply-side advertising platform operated by Xapads Media Pte. Ltd., a company incorporated in the Republic of Singapore with UEN 201729601K and registered office at 7 Temasek Boulevard, #12-07, Suntec Tower One, Singapore 038987 ("Helix", "we", "us", "our").

These Terms of Use ("Terms") govern your access to and use of thehelix.media and any related pages, subdomains, and interfaces (the "Site").

By accessing, viewing, or using the Site, you indicate that you understand and intend these Terms to be the legal equivalent of a signed, written contract, equally binding, and that you accept them and agree to be legally bound by them. If you do not agree, you are not granted permission to use the Site and should exit immediately.

2. Changes to these Terms

We may amend these Terms at any time and at our sole discretion.

Amendments take effect when the revised Terms are posted on the Site, and the "last updated" date will be revised accordingly. For material amendments — including changes that affect your rights, the categories of data we collect, or the purposes for which we use your information — we will use reasonable efforts to provide you with at least 30 days' advance notice by posting a prominent notice on the Site or, where we hold your email address, by email. For non-material amendments, it is your responsibility to review these Terms periodically.

Your continued use of the Site after amended Terms are posted constitutes your acceptance of them. If you do not accept an amendment, your sole remedy is to stop using the Site.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) and of full legal capacity to contract under the laws of your jurisdiction to use the Site. If you use the Site on behalf of an organisation, you represent that you are authorised to bind that organisation, and references to "you" include that organisation. The Site is directed at business and professional audiences. It is not directed at children.

4. Scope, and relationship to other agreements

4.1 Privacy policies incorporated

Helix maintains the following privacy and data-handling documents:

  • (a) the Helix Website Privacy Policy, which applies to visitors to the Site;
  • (b) the Helix Services Privacy Policy, which applies to the processing of personal data in connection with the Helix advertising platform;
  • (c) the Helix Cookie Policy, which describes the cookies and similar tracking technologies used on the Site, and how to accept, reject, or manage them; and
  • (d) the Helix Data Subject Rights Policy, which describes how individuals may exercise their rights under applicable data protection laws including the EU General Data Protection Regulation (GDPR), India's Digital Personal Data Protection Act 2023 (DPDP Act), the California Consumer Privacy Act (CCPA/CPRA), and the Singapore Personal Data Protection Act (PDPA).

Each of the above documents is incorporated by reference into these Terms, as if set forth fully herein. By using the Site you agree to the collection, use, and disclosure of information as described in them. Once published, the current version of each policy will be linked directly from this clause and from the Site footer, so that your acceptance under this clause 4.1 always refers to a policy you can read at the point of accepting these Terms.

Where these Terms and any privacy policy conflict in relation to the handling of personal data, the relevant privacy policy prevails.

4.2 The Site is not the platform

The Site is an informational and marketing property. These Terms grant no right to access or use the Helix advertising platform or any Helix service. Access to and use of the Helix platform is governed exclusively by:

  • (a) the insertion order, master services agreement, or other written agreement executed between you and Xapads Media Pte. Ltd.; and
  • (b) the Helix Publisher Policy and Helix Advertiser Policy, which set out the standards applicable to inventory and advertising on the platform and which are incorporated into that agreement.

Where these Terms conflict with any of the above in relation to platform access or use, the executed agreement prevails.

5. Permitted use and misuse

5.1 Licence and restrictions

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and view the Site for your own internal business or informational purposes. All other rights are reserved.

You must not, and must not permit any third party to:

  • (a) access the Site by automated means, including scraping, crawling, spidering, or data harvesting, other than by a compliant search-engine crawler observing our robots.txt;
  • (b) reproduce, distribute, modify, adapt, create derivative works from, publicly display, reverse engineer, reverse compile, or disassemble the Site or any part of it, except as expressly permitted by these Terms or by law that cannot be contractually excluded;
  • (c) circumvent, disable, or otherwise interfere with any security, authentication, or access- control feature;
  • (d) introduce or transmit any virus, worm, trojan, ransomware, or other malicious code;
  • (e) conduct any penetration test, vulnerability scan, load test, or security assessment without our prior written authorisation;
  • (f) impose an unreasonable or disproportionate load on our infrastructure, or attempt any denial-of-service activity;
  • (g) use the Site to send unsolicited commercial communications, or to harvest contact details for that purpose;
  • (h) remove, obscure, or alter any proprietary notice or attribution;
  • (i) frame, mirror, or embed the Site or any substantial part of it without our prior written consent;
  • (j) post, upload, or attempt to publish any content on the Site;
  • (k) use the Site for any unlawful purpose, or in breach of any applicable law, regulation, sanctions regime, or export control;
  • (l) misrepresent your identity or affiliation, or impersonate any person or entity;
  • (m) attempt to access any account, system, or data not belonging to you.
  • (n) Notwithstanding clause 5.1(e), if you discover a potential security vulnerability on the Site, you may report it responsibly to security@thehelix.media. We will acknowledge receipt within 5 business days and will not pursue legal action against researchers acting in good faith and in accordance with this clause.
5.2 User access

Where you are issued credentials to access the Helix user interface, you are responsible for ensuring that only persons authorised by your organisation hold credentials, and for promptly revoking access for any person who ceases to be authorised.

Your organisation remains fully liable to Helix for all acts and omissions of every person accessing the interface under its credentials, whether or not authorised.

6. Feedback and communications

We welcome your feedback and suggestions about how to improve our products, services, and the Site.

By transmitting any suggestion, information, document, material, or other content (collectively, "Content") to Helix, you automatically grant us a royalty-free, perpetual, irrevocable, non- exclusive, worldwide right and licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, redistribute, transmit, perform, and display such Content, in whole or in part, and to incorporate it into other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such Content.

We are further free to use any ideas, concepts, know-how, techniques, and suggestions contained in any communication you send to us for any purpose whatsoever, including creating, developing, and marketing products and services.

7. Confidentiality of communications is not guaranteed

The confidentiality of any communication or material transmitted to Helix via unencrypted email or the public internet cannot be guaranteed. Communications submitted through the Site's own encrypted forms and interfaces are protected by our technical and organisational security measures as described in the Helix Website Privacy Policy.

You should not transmit confidential or commercially sensitive material through the Site or by unencrypted email. To ensure private and appropriate handling, contact us in writing at the address in clause 17.

8. Intellectual property

The Site and all content on it — including text, documents, logos, graphics, sounds, images, software, page layout, design attributes, structure, and the selection, coordination, and arrangement of content — is owned by Helix or its licensors and is protected by copyright and other intellectual property laws. Removing or altering any copyright or proprietary notice on any material on the Site is prohibited.

We own copyright in the Site as a collective work and compilation, and in the selection, coordination, arrangement, organisation, and enhancement of its content. Any commercial use of this content is prohibited without our prior written consent.

"Helix", the Helix logo, and thehelix.media are trade names of Xapads Media. We assert all rights available in respect of them, including rights arising from use and reputation under the law of passing off (Singapore), common-law trademark rights, and equivalent doctrines in other jurisdictions. No right or licence to use any Helix name, mark, or logo is granted by these Terms.

The absence of a registered trademark symbol (® or ™) does not constitute a waiver of our rights.

Elements of the Site are protected by trade dress and other laws and may not be copied or imitated in whole or in part. No logo, graphic, sound, or image from the Site may be copied or retransmitted unless expressly permitted by us.

All other product names, company names, marks, logos, and symbols appearing on the Site may be the trademarks of their respective owners, and their appearance does not imply endorsement by or of Helix.

9. Third-party links, tools, and resources

The Site may contain links to, or make available, third-party websites, resources, tools, applications, or services ("Third-Party Materials"), provided for the convenience of users in locating information or services that may be of interest.

These are maintained by organisations over which we exercise no control. We expressly disclaim any responsibility for the content, accuracy of information, availability, security, functionality, terms, privacy practices, or quality of products or services provided by or advertised on any Third-Party Materials. We do not control, endorse, promote, or have any affiliation with any third-party service unless expressly stated.

It is your responsibility to take precautions to ensure that anything you select for your use is free of viruses or other items of a destructive nature.

Any dealing between you and a third party is solely between you and that third party, and any complaint or claim should be directed to that third party.

10. Information, statistics, and no offer

The Site is designed to provide general information about Helix and its products and services. Information on the Site is not intended to constitute an offer to sell or a solicitation of any particular product or service.

While we endeavour to keep the materials on the Site up to date, we cannot assume responsibility for any errors or omissions, and we do not warrant the accuracy or completeness of any information, text, graphics, links, or other items contained within them. We may make changes to these materials, or to the products or services described, at any time without notice, and make no commitment to update the information contained on the Site. These materials may include typographical errors.

We have not co-authored, ratified, endorsed, or adopted any statistics provided by third parties by publishing them on the Site.

Nothing on the Site constitutes legal, financial, tax, or investment advice.

11. Disclaimer of warranties, and use of the internet

Use of the Site is entirely at your own risk. The Site and all materials on it are provided on an "as is" and "as available" basis, without warranty of any kind, either express or implied.

To the maximum extent permitted by law, Helix disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, or accuracy.

Neither Helix nor its affiliates is responsible for the consequences of reliance on any information contained in or submitted to the Site, and the risk of injury from the foregoing rests entirely with you.

We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any defect will be corrected. We may modify, suspend, or discontinue the Site or any part of it at any time without notice or liability.

Use of the internet is solely at your own risk and is subject to all applicable national and international laws and regulations. Neither Helix nor its affiliates will be liable for any loss resulting from a cause over which we do not have direct control, including failure of electronic or mechanical equipment or communication lines, telephone or other interconnection problems, computer viruses, unauthorised access, theft, operator errors, severe weather, earthquakes, natural disasters, strikes or other labour problems, wars, or governmental restrictions.

You are responsible for your own device, connection, and security arrangements.

12. Limitation of Liability

To the fullest extent permitted by applicable law, the Site and all content, information, software, materials and services made available through the Site are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, neither Helix, nor its affiliates, subsidiaries, parent companies, licensors, service providers, suppliers, directors, officers, employees, contractors, agents or representatives shall be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, including without limitation any loss of profits, revenue, business opportunity, contracts, anticipated savings, goodwill, reputation, data, use of data, business interruption, advertising revenue, campaign performance, loss arising from bidding failures, system downtime, interruption of services, procurement of substitute services, or any other commercial or economic loss, arising out of or relating to:

  • (a) your access to, use of, inability to use, or reliance upon the Site;
  • (b) any interruption, suspension, delay or unavailability of the Site;
  • (c) any errors, inaccuracies or omissions in the content available through the Site;
  • (d) any unauthorized access to or alteration of your transmissions or data;
  • (e) any malware, viruses, ransomware, cyberattack, denial-of-service attack or other harmful code transmitted by any third party;
  • (f) the acts or omissions of third-party service providers, internet service providers, hosting providers or other third parties; or
  • (g) any other matter relating to the Site, regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, statutory duty or otherwise, even if Helix has been advised of the possibility of such damages.

Without limiting the foregoing, Helix does not warrant that the Site will be uninterrupted, secure, error-free, free from viruses or other harmful components, or that any defects will be corrected.

Where access to the Site is provided free of charge, Helix shall have no monetary liability arising from or relating to your use of the Site. Where fees are payable for access to the Site, Helix's aggregate liability arising out of or in connection with these Terms shall not exceed the total amount actually paid by you to Helix for use of the Site during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for:

  • (a) death or personal injury resulting from negligence;
  • (b) fraud or fraudulent misrepresentation;
  • (c) wilful misconduct; or
  • (d) any liability which cannot lawfully be excluded or limited under applicable law.

For the avoidance of doubt:

13. Indemnity

You agree to defend, indemnify and hold harmless Helix, its affiliates, subsidiaries, parent companies, licensors, service providers, directors, officers, employees, contractors, agents, successors and assigns (collectively, the "Indemnified Parties") from and against any and all claims, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, losses, costs and expenses (including reasonable legal fees, expert fees and litigation expenses) arising out of or relating to:

  • (a) your access to or use of the Site;
  • (b) your breach of these Terms or any documents incorporated by reference;
  • (c) your violation of any applicable law, regulation or industry standard;
  • (d) your infringement or misappropriation of any intellectual property rights, privacy rights, publicity rights or other rights of any third party;
  • (e) any content, information or materials submitted, uploaded, transmitted or otherwise made available by you through the Site;
  • (f) your misuse of the Site, including any fraudulent, abusive, unlawful or unauthorized activity;
  • (g) your negligence, wilful misconduct or fraudulent acts or omissions;
  • (h) any unauthorized use of your account or credentials resulting from your failure to maintain appropriate security measures; or
  • (i) any claim brought by a third party arising from or relating to your acts or omissions in connection with the Site.

Helix reserves the right, at its own discretion, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with Helix in the defence of such matter and shall not settle any claim without Helix's prior written consent where such settlement imposes any liability or obligation on any Indemnified Party.

Your indemnification obligations under this Clause shall survive the termination or expiration of these Terms and your use of the Site.

14. Suspension and termination of access

We may suspend, restrict, block, or terminate your access to the Site at any time, in the event that you violate these Terms or for any reason whatsoever, with or without notice, and at our sole discretion.

We are not liable to you for any suspension, restriction, or termination of access.

Clauses 6, 8, 9, 10, 11, 12, 13, 15, and 16, and any other clause which by its nature should survive, will survive termination.

15. Governing law and dispute resolution

These Terms, and any dispute or claim arising out of or in connection with them, their subject matter or formation, including any non-contractual dispute or claim, are governed by and construed in accordance with the laws of the Republic of Singapore, without reference to its choice of law rules.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre in force at the time of commencement, which rules are deemed incorporated by reference into this clause.

Notwithstanding the foregoing, nothing in this clause limits or restricts: (i) the right of any data subject to lodge a complaint with a competent data protection supervisory authority or to bring proceedings before the courts of their habitual residence under Article 79 of the EU General Data Protection Regulation, the UK GDPR, India's DPDP Act 2023, or any equivalent applicable data protection law; or (ii) the jurisdiction of any regulatory authority with competence over data protection matters.

The seat of the arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English. The award shall be final and binding on the parties. Nothing in this clause prevents either party from seeking interim or injunctive relief from any court of competent jurisdiction.

The Site is controlled and operated by Helix from its offices in Singapore. We make no representation that materials on the Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. Those who choose to access the Site from other locations do so of their own volition and are responsible for compliance with applicable local laws.

Contracts (Rights of Third Parties) Act 2001. A person who is not a party to these Terms has no right under that Act to enforce any of them, save that our affiliates and our respective directors, officers, employees, and agents may enforce clauses 12 and 13.

16. General

Entire agreement. These Terms, together with the privacy policies incorporated under clause 4.1, constitute the entire agreement between you and Helix with respect to your use of the Site. You acknowledge that, in providing you access to and use of the Site, Helix has relied on your agreement to be legally bound by these Terms.

Severability. If any provision is held invalid or unenforceable, the other provisions will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

No waiver. Our failure or delay in enforcing any provision is not a waiver of our right to enforce it subsequently.

Assignment. These Terms, and your rights and obligations under them, may not be assigned, subcontracted, delegated, or otherwise transferred by you without our prior written consent, and any attempted transfer in violation of the foregoing will be null and void. We may freely assign these Terms, and they shall be binding upon assignees.

No agency. Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship.

Headings. Section titles are for convenience only and have no legal or contractual effect. The word "including" means "including without limitation".

Language. These Terms are drafted in English. Any translation is provided for convenience only, and the English version prevails.
